Intellectual Property Rights
All creative content, strategies, designs, campaigns, graphics, text, and digital assets produced by stratylis remain the sole property of the agency until full payment is received. Upon full payment, limited usage rights are granted to the client as agreed in the service contract. Unauthorized use, reproduction, distribution, or resale of any materials is strictly prohibited without written consent.
Confidentiality and Non-Disclosure
Protects both the company and the client by stating that confidential information shared during the course of business will not be disclosed to third parties without prior written consent. This includes trade secrets, proprietary data, client strategies, and marketing plans. This clause should survive the termination of the contract.
Data Protection and Privacy
Stratylis complies with all relevant data protection laws, including GDPR, CCPA, and local privacy regulations. All client and end-consumer data shared or accessed during service delivery will be securely stored, used solely for the intended purpose, and protected against unauthorized access. Data breaches, if any, will be promptly disclosed as per legal requirements.
Client Responsibilities and Data Accuracy
Clients are responsible for providing accurate, lawful, and complete information and materials necessary for the execution of marketing services. The agency is not liable for delays, errors, or losses resulting from incomplete or inaccurate inputs from the client. Clients also ensure they have obtained any necessary permissions to use consumer data or third-party content.
Limitation of Liability
Under no circumstances shall stratylis be held liable for any indirect, incidental, or consequential damages, including loss of profits or business interruptions. Liability is limited to the total fees paid by the client for the services in question. The agency is not responsible for actions taken by third-party platforms or partners.
Payment Terms and Ownership Transfer
All invoices are due as per the schedule defined in the service agreement. Late payments may incur additional charges or service suspensions. Ownership and rights to any delivered work shall only transfer to the client upon full payment. Until then, the agency retains full rights and may withhold delivery or usage permissions.
Termination and Cancellation Policy
Either party may terminate the agreement by providing a [30]-day written notice. If the client terminates the agreement early, they are responsible for payment of all work completed and any non-refundable third-party costs incurred. Upon termination, all ongoing services will cease, and the client will receive all approved, paid-for deliverables created up to that point.
Third-Party Tools and Platforms
The agency may use third-party tools and services (e.g., advertising platforms, analytics tools, software, etc.) during campaign execution. While stratylis selects reliable providers, it does not guarantee the performance or availability of third-party services and will not be held liable for their actions or failures. Clients may be responsible for subscription or media buy costs associated with these tools.
